Service Terms
Welcome to Amazon Air Cargo. Amazon.com Services LLC and its affiliates (“Amazon,” ”we,” “us,” or “our”) provide website features and other products and services to you when you visit this Site, use Amazon Air Cargo (“ACAR”) transportation services, or use software provided by us in connection with them (collectively, “ACAR Services”).
When you first registered at https://supplychain.amazon.com/mcf, you accepted the Customer Agreement. By using ACAR Services, you also agree (on behalf of yourself and/or the business entity you represent) to these Service Terms applicable to ACAR Services (the “ACAR Service Terms”), together with the Shipper’s Guide. If the ACAR Service Terms are inconsistent with the Customer Agreement in any way, the ACAR Service Terms will control. We reserve the right to make changes to the ACAR Service Terms and the Shipper’s Guide at any time without notice. If you have separately signed an Air Transportation Agreement or other offline contract with Amazon for air transportation services, and the Customer Agreement and/or ACAR Service Terms are inconsistent with that contract in any way, that contract will control.
1. Our Air Cargo Service: This Site offers you the ability to quote, book, view, and manage air transportation capacity (also known as “blocked space”) for your cargo on Amazon’s network. Once you book ACAR Services, we will provide you with a “Booking Confirmation” confirming the shipment details and charges payable. Note that Amazon is not an air carrier: we provide ACAR Services by contracting with air carriers that operate the aircraft. The air
carrier’s pilot-in-command has full authority over preparation and acceptance of cargo for transport on the aircraft and all other aspects of flight safety.
2. Cancellation, Changes, and Over-Tender: Once your booking has been confirmed, the charges are non-refundable, even if you choose to cancel your shipment. If you choose to make a change to your booking, you will be informed of any additional charges applicable. If the cargo you tender exceeds the volume booked or otherwise differs from what is specified in your Booking Confirmation, we reserve the right to reject the cargo or assess additional
charges.
3. Shipper’s Guide: We have published a Shipper’s Guide that describes important topics on how you must ensure that your cargo is ready to ship. For example, the Shipper’s Guide covers the drop-off and pick-up process, acceptable Tender Condition (including packaging, labeling, and documentation), requirements for Dangerous Goods and Perishables, and unpermitted Prohibited Materials. By using ACAR Services, you agree that you have read
and will comply with the Shipper’s Guide, which is incorporated into the ACAR Service Terms.
4. Flight Diversions, Cancellations, and Delays: If transportation of your cargo is delayed because of diversion, cancellation, or delay of a specific flight, we will use commercially reasonable efforts to transport your cargo promptly to its destination. However, no damages or other compensation will be payable to you, including for cargo damage or loss related to such delay.
5. Changes to Flight Schedule: We reserve the right to make changes to our flight schedule at any time and for any reason, which may affect ACAR Services that you have booked. If a change involves a change in frequency, city pairs, or a change in the planned departure or arrival time of three hours or more, then we will provide at least five days’ notice. For all other changes, we will make reasonable efforts to provide you with at least 48 hours’ notice. In either case, you will have the opportunity to cancel any impacted bookings free of charge. If you don’t cancel within 24 hours of notification, you will be deemed to have accepted the change to the flight schedule and any impacted bookings will remain in place.
6. Cargo Damage or Loss: Our liability for damage or loss of any individual package is limited to 26 Special Drawing Rights (SDRs) per kilo, as provided in the Montreal Convention. Such limit applies to all ACAR Services (including on domestic flights), regardless of whether the Montreal Convention would otherwise apply to the flight. The claims process for cargo damage or loss is described in the Shipper’s Guide. Our total liability to you for any reason
arising out of the ACAR Services will not exceed $5 million.
7. Insurance: You assume the risk of any cargo damage or loss that exceeds the liability limits stated above. We do not provide or arrange for insurance coverage of any kind for your cargo. You will maintain, at a minimum, the insurance coverage required by the Customer Agreement.
8. Indemnity: Amazon and you will each indemnify, defend, and hold harmless each other as provided in the Customer Agreement. In your case, the scope of this indemnity expressly includes Claims caused by you tendering cargo that is not in Tender Condition or otherwise fails to comply with the Shipper’s Guide.
9. Invoicing & Payment: We will invoice you on the last day of each calendar month for charges payable for shipments made during that month, as specified in your Booking Confirmation(s). You will pay the full amount of each invoice within 30 days of receipt, to the bank account specified or in such other manner as the invoice may reasonably direct.
10. Suspension of Shipments: In the event you do not pay an invoice within the timeframe specified above, or if you otherwise breach your obligations under the ACAR Service Terms (including any failure to comply with the requirements of the Shipper’s Guide), we may immediately suspend ACAR Services upon written notice until the matter is satisfactorily resolved.
11. Publicity: Neither you nor Amazon will use the name, logo, or any other mark of the other without prior written permission, including in any press release, advertising, or other promotional material about the ACAR Services, except that we may identify you as an Amazon Air Cargo customer by including your company’s name and logo in a client list featured on our website or other publicly-accessible materials.
12. Priority Over Standard Forms: In connection with transport of your cargo, you and/or Amazon may use standard business forms, such as bills of lading, waybills, proof of acceptance or delivery documents, and invoices. Use of such forms (even if signed by you and Amazon) is for convenience only. Neither you nor Amazon will be bound by any provision of such forms.
